Buckstop, Inc. ("Buckstop", "we", "us" or "our") is committed to protecting your privacy. This Privacy Policy explains what information we collect (limited to business-related data), how we use and share that information, and your rights regarding your information. You are required to affirmatively accept this Privacy Policy (for example, by checking an unchecked consent box) before using our platform, to ensure that you have provided clear and unambiguous consent to our data practices. By actively agreeing to this Privacy Policy and using our services, you confirm that you have read and understood it and you consent to the collection, use, and disclosure of your information as described herein. If you do not agree, you must not use the Buckstop platform.

1. Information We Collect

Business-Related Data Only: Buckstop is a platform intended for business use. We primarily collect information that is related to your business or professional activities and assets. This may include company information, asset identifiers, financial or inventory data, business transaction details, and business contact information (such as your name, work email address, job title, company name, and phone number). We collect such data only as necessary to provide our services to you and to fulfill our contractual or legal obligations.

No Sensitive Personal Data: We do not collect any sensitive personal data about you. In particular, we do not seek or intentionally processsensitive categories of personal information (as defined under applicable laws, such as the EU General Data Protection Regulation and U.S. state privacy laws) – for example, we will not collect biometric identifiers, genetic or health-related information, or data revealing your racial or ethnic origin, religious or political beliefs, or sex life. We also do not collect precise geolocation data from your device[3][4]. Any personal information that you provide should be business-oriented and not of a private sensitive nature. If you believe we have inadvertently collected sensitive personal data, please contact us (see Contact Us below) so we can promptly delete it.

Children and Age Restrictions: Our platform and services are intendedsolely for business users who are 18 years of age or older. We do not knowingly collect personal information from anyone under the age of 18. Minors are strictly prohibited from using Buckstop. If you are under 18, you must not use or access our services. In compliance with U.S. and international regulations regarding minors’ privacy, we will take steps to remove any information of users we discover to be under 18. (For clarity, Buckstop also does not market to or knowingly solicit data from children under 13, consistent with the U.S. Children’s Online Privacy Protection Act.) If a parent or guardian becomes aware that a minor’s data has been provided to us, please contact us and we will delete the data. By using our site, you affirm that you are at least 18 years old[5].

Buckstop is based in the United States, but we serve users globally. If you are accessing our services from outside the U.S., be aware that your information may be transferred to, stored, and processed in the United States or other jurisdictions where our facilities or service providers are located. By affirmatively consenting to this Privacy Policy and using our site, you understand that your information may be transferred to our facilities (and those of authorized third parties) in the U.S. or elsewhere, and you consent to any such transfers in accordance with this Policy.

5. Data Security

We take security seriously and implement industry-standard security measures to protect your personal and business data from unauthorized access, alteration, disclosure, or destruction. These measures include encryption of data in transit (e.g., SSL/TLS), encryption of sensitive data at rest, firewalls and access controls, and regular monitoring of our systems for vulnerabilities or attacks. You are responsible for maintaining the security of your account credentials (such as your password) and for any activity on your account. 6. Your Rights and Choices

Depending on your jurisdiction (e.g., the European Union, United Kingdom, California, etc.), you may have certain legal rights regarding your personal data. We honor all applicable rights, which may include:

Access and Portability: You have the right to request a copy of the personal information we hold about you, and to obtain it in a portable format.

Correction: You can ask us to correct or update inaccurate or incomplete personal information. Much of your basic account data can also be updated by you directly through your account settings.

Deletion: You can request that we delete your personal data. We will honor such requests to the extent required by law, but please note we may need to retain certain information for recordkeeping purposes, to complete transactions or comply with legal obligations.

Objection to Processing: You may have the right to object to certain processing (such as for direct marketing or in some cases where we rely on legitimate interests).

Withdrawal of Consent: If we rely on your consent for any processing, you have the right to withdraw your consent at any time. Withdrawing consent will not affect the lawfulness of processing based on consent before its withdrawal. 9. Changes to This Privacy Policy

We may update this Privacy Policy from time to time to reflect changes in our practices, technology, legal requirements, or for other operational reasons. If we make material changes, we will provide prominent notice (e.g., by posting a notice on our site or via email) and, where required by law, obtain your consent. The “Last Updated” date at the top indicates when the latest changes were made. We encourage you to review this Privacy Policy periodically to stay informed about how we are protecting your information.

Your continued use of the Buckstop platform after any changes to this Privacy Policy constitutes your acceptance of the revised Policy,provided that you have affirmatively consented to any material changes as required by law. If you do not agree with any updates to the Policy, you should stop using our services and may request that we delete your data.

Buckstop Terms and Conditions

These Terms and Conditions (the “Terms”) govern the access to and use of the Buckstop website, platform, and services (“Services”). Byaccessing or using our Services, or by clicking “Accept” or checking an “I agree” box when this option is presented, you acknowledge that you have read, understood, and agree to be bound by these Terms as well as our Privacy Policy[6]. If you do not agree with these Terms or the Privacy Policy, you must not use the Buckstop platform.

Age and Eligibility: The Buckstop Services are intended for business users who are at least 18 years old. By agreeing to these Terms, you represent and warrant that you are 18 years of age or older (or the age of majority in your jurisdiction, if higher) and are legally capable of entering into binding contracts[6]. If you are using the Services on behalf of a company or other legal entity, you further represent that you have the authority to bind that entity to these Terms, and in that case “you” shall refer to both you as an individual and the entity you represent. Minors (individuals under 18) are not permitted to use the Buckstop Services under any circumstances[7]. We reserve the right to verify your age and to suspend or terminate your account if we suspect you do not meet these eligibility requirements.

1. Account Registration and User Responsibilities

Account Creation: To access many of our Services, you may be required to create a Buckstop account. When registering, you must provide accurate, current, and complete information (including your correct name, business affiliation, and contact details) and keep this information up-to-date. Each user must use their own credentials; youagree not to share your account or password with others. You are responsible for maintaining the confidentiality of your account login and for all activities that occur under your account. If you suspect any unauthorized use of your account or a security breach, you must promptly notify us at support@buckstop.com.

Business Use of Account: Buckstop is designed for business and professional use. You agree to use your account primarily in connection with your business activities (for example, managing business assets, viewing analytics, etc.) and not for personal or household consumer purposes. You are responsible for ensuring that any data you input or manage through the platform (such as asset information or other business data) complies with these Terms and does not infringe any third-party rights.

User Obligations: By using our Services, you agree that you will:

Provide Lawful Information: Only submit information and content that you have the right to share and that is truthful and lawful.

Comply with Laws: Use the Services in compliance with all applicable laws and regulations, including data protection laws and export control laws.

Respect Intellectual Property: Not upload or share content that violates the intellectual property or proprietary rights of others.

Secure Your Access: Take appropriate steps to secure access to the Services, including protecting your password and using secure networks.

Accept Updates: Acknowledge that Buckstop may update the software or platform from time to time (including to enhance security or functionality), and such updates may occur automatically in the background with or without notice.

We reserve the right to suspend or terminate your account (with or without notice) for any violation of these Terms or for any behavior that we determine is harmful to the platform or other users.

2. Permissible Use and Prohibited Conduct

Permissible Use: You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Buckstop Services for your internal business purposes, in accordance with these Terms. All use must be in line with the intended functionality of the platform and within any usage limits (such as asset upload limits or API call limits) we may impose.

Prohibited Uses: You may not engage in any of the following when using the Services:

Unauthorized Access: Attempt to access accounts, data, or systems that you are not authorized to access, or probe, scan, or test the vulnerability of the platform (security testing is not allowed without our written consent).

Interference: Interfere with or disrupt the integrity or performance of the Services, including attempting to overload, flood, spam, or crash the platform or introducing viruses or malicious code.

Misuse of AI Features: If our platform provides AI-generated insights or analytics (see Section 6 below), you must not misuse these features by inputting unlawful content, attempting to manipulate outputs for disallowed purposes, or circumventing any usage controls.

Illegal or Harmful Content: Upload, post, or transmit any content that is illegal, fraudulent, defamatory, harassing, infringing, or otherwise objectionable. This includes content that violates privacy rights or could cause harm to others (such as by revealing confidential or personal information without authorization).

Reverse Engineering: Copy, modify, create derivative works of, decompile, or reverse-engineer any part of the Services (except to the extent such restriction is prohibited by law).

Resale or Unauthorized Commercial Use: You may not resell our Services or use them to provide services to third parties without our explicit permission. The license granted to you is for use of the platform for your own business’s needs only.

Violation of this Section may result in immediate termination of your account and access, and may also subject you to legal consequences. Buckstop has the sole discretion to determine what constitutes abuse or violation of these rules.

3. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and processing of data (including personal data) through the Services are detailed in our Privacy Policy (available above). By accepting these Terms, you also agree to the Privacy Policy. In particular, you acknowledge and agree that:

Data Collection: Buckstop will collect and process certain data as you use the Services, including the business and personal information you provide. We will do so in accordance with our Privacy Policy and applicable data protection laws.

Consent: You have provided all necessary consents for our data processing activities. Where you input personal data of others (e.g., information about your employees or associates in a business context), you represent that you have the authority or obtained appropriate consent to share such data with us.

International Transfers: You understand that your data may be transferred to and processed in the United States or other jurisdictions as described in the Privacy Policy, and you consent to such transfer and processing.

Data Security: We implement security measures to safeguard data as described in the Privacy Policy. However, you also have a role in protecting data – for instance, by securing your account and not sharing login credentials.

Data Subject Rights: If you are an individual protected by certain privacy laws (like GDPR), Buckstop will facilitate the exercise of your rights (access, deletion, etc.) as described in the Privacy Policy. You can contact us to make such requests.

4. Intellectual Property Rights

Buckstop’s IP: All content and materials provided through the Services, including but not limited to software, algorithms, design elements, logos, trademarks, text, graphics, images, and compilations (collectively, “Platform Content”), are the intellectual property of Buckstop or its licensors and are protected by copyright, trademark, patent, and other applicable intellectual property laws. Buckstop retains all rights, title, and interest in and to the Platform Content and the Services, including all associated intellectual property rights, except for any rights expressly granted to you in these Terms.

You must not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Services. Any feedback, suggestions, or ideas you provide to us regarding the Services (“Feedback”) may be used by us freely and for any purpose. By providing Feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate your Feedback into our products or services.

Your Content: In the course of using Buckstop, you may input or upload content and data (including business data, text, images, or other materials) into the platform (“User Content”). You retain ownership of all intellectual property rights in your User Content. However, by using the Services and uploading User Content, you grant Buckstop a limited license to use, reproduce, and process your User Content solely for the purpose of operating and providing the Servicesto you and as otherwise permitted by our Privacy Policy. This license includes, for example, the rights to host your data on our servers, analyze it to provide insights, display it back to you, and make backups. We will not use your User Content for any other purpose without your consent.

You represent and warrant that you have all necessary rights in any User Content that you upload or share through the Services, and that our use of such User Content as permitted by these Terms will not infringe or violate any third-party rights (including intellectual property rights and privacy rights) or any laws.

Third-Party IP: The Services may incorporate or provide access to third-party content, software, or libraries (for example, open source components or third-party APIs). Use of third-party materials may be subject to additional terms from those third parties. Buckstop is not responsible for content on third-party sites or services that may be linked to or integrated with our platform.

5. Payments, Fees, and Subscription Terms

(This section applies if you purchase any paid services or subscriptions from Buckstop.)

If certain aspects of the Buckstop Services are offered for a fee or subscription, you agree to the pricing and payment terms presented to you at the time of subscription or order. All fees are in U.S. Dollars unless otherwise specified, and are exclusive of any taxes (such as sales, use, VAT, or similar taxes) that may apply. You are responsible for paying any applicable taxes.

Billing and Payment: You must provide current, complete, and accurate billing information. If you sign up for a recurring subscription, you authorize Buckstop (or our designated payment processor) to charge your provided payment method on a recurring basis (e.g., monthly or annually, depending on your plan) for the subscription fees and any applicable taxes. If we cannot charge your payment method (due to expiration, insufficient funds, or otherwise), and you have not canceled the subscription, we may suspend your access to the paid Services until payment is received.

Auto-Renewal: Paid subscriptions will automatically renew for successive terms equal in length to the initial term, unless you cancel the subscription before the renewal date. We will notify you of any significant changes in subscription price or terms prior to auto-renewal as required by law. You can cancel your subscription renewal through your account settings or by contacting support@buckstop.com, in which case your access will continue until the end of the current paid term but will not renew thereafter.

Refunds: Fees are generally non-refundable. Certain refund requests for subscriptions might be considered on a case-by-case basis, for example if the service is defective or as required under applicable consumer protection laws. If you cancel a subscription mid-term, you will typically continue to have access until the end of the term, and the cancellation will take effect at the next billing cycle (no pro-rata refunds for unused time). We reserve the right to issue refunds or credits at our sole discretion.

Changes in Fees: Buckstop may change the fees and charges in effect, or add new fees and charges from time to time, by giving you advance notice. Such changes will apply from your next billing cycle or subscription term. If you do not agree to fee changes, you may need to cancel your subscription.

6. AI-Generated Insights and Disclaimer of Reliance

Buckstop’s platform may include features that utilize Artificial Intelligence (“AI”) or automated algorithms to provide insights, analytics, predictions, or recommendations based on the data you input. It is important to understand that any content, result, or suggestion provided by our AI features is for informational purposes only. All AI-generated outputs are provided “as-is” without any guarantee of accuracy, completeness, or suitability for a particular purpose.

No Professional Advice: You should not rely solely on AI-generated insights as professional advice or as the sole basis for making important decisions. The AI outputs do not constitute legal, financial, accounting, investment, or other professional advice, and they are not a substitute for the personalized judgment of a qualified expert. For example, if Buckstop’s AI provides an analysis of asset performance or risk, you should verify this information independently and/or consult with a professional advisor before taking substantive actions based on it.

User Responsibility: You are solely responsible for how you use or act on the AI-generated content. Any decisions you make based on information obtained from the Buckstop AI features are made at your own risk[8]. You agree that you will independently verify any critical information and use your own judgment (or consult professional counsel) rather than relying unquestioningly on our AI outputs[8]. Buckstop strives to improve the accuracy of its AI, but the technology has inherent limitations and may occasionally produce incorrect or misleading results. Always carefully review outputs in light of your own knowledge and the context of your business.

Disclaimer of Liability for AI: Buckstop disclaims all liabilityarising from any use of or reliance upon the AI-generated content or analytics provided through the Services[8]. We do not warrant that the AI results will be error-free, and we are not liable for any damages or losses (direct or indirect) that may result from inaccuracies or omissions in AI outputs. By using the AI features, you acknowledge these limitations and agree that Buckstop shall not be responsible for any consequences of your reliance on AI-provided information.

Use of AI Features: Furthermore, you agree to use the AI features in compliance with Section 2 (no misuse). You will not prompt or use the AI to generate content that is illegal, harmful, or violates others’ rights. We reserve the right to monitor usage of AI features to ensure compliance and to improve our services (in accordance with the Privacy Policy), and to suspend or limit AI features for any user who abuses them.

(Example: If the AI suggests an optimal time to purchase new equipment, you should treat this as one data point among many, not as guaranteed financial advice. It remains your responsibility to evaluate the suggestion and consider real-world factors.)

By providing AI-driven analytics, Buckstop aims to assist and enhance your decision-making, but ultimate decisions and responsibility always rest with you as the user.

7. Disclaimers of Warranties

“As Is” Basis: Buckstop provides the Services, including all content, functions, and features, on an “as is” and “as available” basis. To the fullest extent permitted by law, Buckstop and its affiliates, suppliers, and licensors disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties that may arise from course of dealing or usage of trade.

Without limiting the above, Buckstop does not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not guarantee that any information (including any analytics or AI output) is accurate, complete, or reliable. You assume all risk for any harm or damage that may result from your use of or access to the Services, your dealings with other users, and any content you choose to download or otherwise obtain through the Services.

No Guarantee of Results: You acknowledge that no platform can guarantee specific results. Any statements or representations about potential benefits or outcomes from using Buckstop (for example, improved asset management efficiency or increased savings) are for illustrative purposes only and do not constitute a warranty or guarantee. Real-world results depend on numerous factors beyond Buckstop’s control, including the accuracy of data provided by users and external market conditions.

Third-Party Components: Some features of our Services might rely on third-party services or software. Buckstop is not responsible for the operation or failures of third-party services (such as internet connectivity, third-party integrations, or browser compatibility). Any third-party content or software is provided to you “as is” and subject to that third party’s terms.

In jurisdictions that do not allow the exclusion of certain warranties, some of the above disclaimers may not apply to you. In such cases, Buckstop’s warranties will be limited to the minimum extent permitted by applicable law.

8. Limitation of Liability

Indirect Damages: To the maximum extent permitted by law, in no event will Buckstop, its directors, officers, employees, agents, or partners be liable for any indirect, consequential, exemplary, incidental, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages. This limitation applies to all causes of action, whether in contract, tort (including negligence), strict liability, or any other theory.

Direct Damages Cap: To the extent permitted by law, Buckstop’s total cumulative liability to you for any direct damages in connection with the Services or these Terms will not exceed the amount you paid to Buckstop for the specific service or subscription in the six (6) months immediately preceding the event giving rise to the liability(or, if you have not paid Buckstop, $100 USD). This allocation of risk is an essential element of the basis of the bargain between you and Buckstop; without these limitations, the pricing of the Services would be significantly different.

Exceptions: Nothing in these Terms is intended to exclude or limit liability that cannot be excluded under applicable law. For example, some jurisdictions do not allow the exclusion of liability for death or personal injury caused by negligence, or for a party’s fraud or fraudulent misrepresentation, or certain statutory warranties. In such jurisdictions, some of the above limitations may not apply to you, and each party’s liability will be limited to the maximum extent permitted by law.

You agree that any claim arising out of or related to the Services must be brought by you within one (1) year after the event or facts giving rise to the claim, or else be forever barred (this does not apply where prohibited by applicable law).

9. Indemnification

You agree to indemnify, defend, and hold harmless Buckstop and its affiliates, and each of their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with: (a) your violation of these Terms or of any law or regulation; (b) your infringement or misappropriation of any intellectual property or other rights of any third party in connection with your use of the Services or any content you provide; (c) your misuse of the Services, including any use of the AI features or other features in a manner not authorized by these Terms; or (d) any dispute between you and any third party (such as other users or business partners) relating to your use of the Services.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in such case, you agree to cooperate with our defense of those claims.

10. Suspension and Termination

By You: You may stop using the Services at any time. If you have a registered account, you may terminate it by contacting us or through any account termination interface we provide. Termination of your account will not relieve you of any obligation to pay any accrued fees or charges.

By Buckstop: We may, in our discretion, temporarily suspend or permanently terminate your access to the Services (or any part thereof) at any time, for any reason, including if: (a) you have violated these Terms or any applicable law; (b) you fail to pay any fees due (if applicable); (c) we suspect fraudulent, abusive, or unlawful activity associated with your account; or (d) we are required to do so to comply with a legal requirement or court order. In non-urgent cases, we will attempt to provide you with advance notice of suspension or termination, but we may not do so if we determine that immediate action is prudent to protect Buckstop or its users (for example, disabling an account that is hacking the system).

Effect of Termination: Upon any termination of your account or these Terms, your right to use the Services will immediately cease. We may delete or deactivate your account and all related data, files, and content associated with it, except to the extent we are obliged or permitted to retain such data under applicable law or our Privacy Policy (e.g., for backup, legal compliance, or dispute resolution purposes). Buckstop shall not be liable to you for compensation, reimbursement, or damages in connection with any termination of Services or deletion of your data, provided that this does not limit any refunds that may be due to you under Section 5 (if you paid for services that are terminated without cause).

Sections of these Terms that by their nature should survive termination (such as indemnities, disclaimers, limitations of liability, and dispute resolution provisions) will survive any expiration or termination of these Terms.

11. Changes to the Terms

Buckstop may modify these Terms from time to time. When we make material changes to the Terms, we will provide you with notice as appropriate (e.g., by email notice or a prominent announcement on our site) and obtain your affirmative consent to the updated Terms if required by law (for example, via a checkbox or click-through “I agree” prompt upon your next login). The “Last Updated” date at the top indicates the last revision.

By continuing to use the Services after updated Terms have been posted (and consented to, if applicable), you agree to the revised Terms. If you do not agree to a change, you must stop using the Services and may request the closure of your account. We encourage you to review the Terms periodically to ensure you understand the terms and conditions that apply to your use of the platform.

12. Governing Law and Dispute Resolution

Governing Law: These Terms and any dispute arising out of or related to them or the Services will be governed by and construed in accordance with the laws of the State of Delaware and the federal laws of the United States applicable therein, without regard to its conflict of law principles. However, if you reside outside the United States, or the laws of your jurisdiction mandate different consumer protection or data protection rights that cannot be waived by contract, those laws may apply to the extent required.

Arbitration and Class Action Waiver: This subsection may require your careful attention. Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Services that cannot be resolved through friendly negotiation shall be resolved by binding arbitration on an individual basis. You and Buckstop both waive the right to a trial by jury or to participate in a class action.

Arbitration will be administered by a mutually agreed upon arbitration provider. The arbitration will take place in a mutually convenient location (or via video/phone for small claims) and the arbitrator’s decision will be final and binding.

Exceptions: Either party may bring a claim in small claims court if it qualifies. Also, either party may seek injunctive relief in a court of competent jurisdiction to prevent misuse or infringement of intellectual property or confidential information.

If the class action waiver is found unenforceable, then the entirety of the arbitration clause shall be null and void, and disputes shall be brought in a court of competent jurisdiction as set forth below.

Jurisdiction and Venue: Subject to the above arbitration clause, you agree that any judicial proceedings (if allowed) will be brought in and you hereby consent to the exclusive jurisdiction and venue in the state and federal courts located in Delaware, USA, unless otherwise required by law (e.g., for consumers in the EU, you may have the right to bring claims in your country of residence).

13. Miscellaneous

Entire Agreement: These Terms, along with the Privacy Policy (and any additional agreements or addenda you have entered into with Buckstop, such as a Data Processing Addendum if applicable), constitute theentire agreement between you and Buckstop regarding the Services and supersede all prior agreements or understandings, whether written or oral, relating to the same subject matter.

No Waiver: Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or of our right to enforce it in the future. A waiver of any right will be effective only if in writing and signed by an authorized representative of Buckstop.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision shall be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

Assignment: You may not assign or transfer these Terms (in whole or in part) or any rights or obligations hereunder without our prior written consent. Buckstop may freely assign these Terms, in whole or in part, including to a successor in interest as part of a merger, acquisition, or sale of assets. These Terms shall bind and inure to the benefit of the parties, their successors, and permitted assigns.

Relationship of Parties: You and Buckstop are independent contractors. These Terms do not create any joint venture, partnership, employment, or agency relationship between us. Neither party has any right or authority to assume or create any obligation of any kind on behalf of the other.

Notices: Buckstop may provide notices to you by email to the address associated with your account, by postal mail, or through postings on our website or platform. You must ensure that your account information is current and you agree that sending a notice to the contact information on file constitutes effective notice. If you need to give notice to us, you must do so in writing via email to support@buckstop.com or via certified mail to our corporate address provided below.

Force Majeure: Buckstop will not be liable for any delay or failure in performance of the Services caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, governmental regulations, shortages of materials or energy, interruption of internet or telecommunications, or pandemics.
